Terms of Service

This agreement is provided in English, which is the governing language. A French version is available on request at hello@bespokeseb.ai.

1. Agreement and parties

These Terms of Service ("Terms") govern your access to and use of Bespoke Seb (the "Service"), operated by LG MGMT SRL ("LG MGMT", "we", "us"), a company incorporated in Belgium, VAT BE0790851688, registered office [registered office address]. By creating an account, embedding the Service, or otherwise using it, you ("Customer", "you") agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you are authorised to bind it.

2. The Service

Bespoke Seb is an embeddable AI sales associate: it ingests your product catalogue and brand knowledge, converses with shoppers on your storefront to help them find products, and provides a merchant dashboard with analytics and configuration. The Service is provided on a subscription basis and is intended for businesses only, not consumers.

3. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account and that of users you invite. Notify us promptly of any unauthorised use.

4. Acceptable use

You agree not to: use the Service unlawfully or to process data you have no right to process; attempt to break, overload, reverse-engineer, or circumvent the Service's security or rate limits; resell or provide the Service to third parties except your own end shoppers; use it to generate unlawful, infringing, or harmful content; or misrepresent the AI as a human where disclosure is required.

5. Your content and responsibilities

You retain all rights to your catalogue, brand content, and data ("Customer Content"). You grant us a limited licence to host and process Customer Content solely to provide the Service. You are responsible for: the accuracy and lawfulness of your catalogue, prices, and policies; having a valid legal basis and the necessary notices/consents for any personal data shoppers provide through the Service; and complying with consumer-protection, advertising, and AI-transparency laws applicable to your store.

6. Data protection

Where we process personal data contained in shopper conversations, we act as your processor and you as the controller; we process such data only on your documented instructions. Our Privacy Policy describes our practices, and data-processing terms (including sub-processors and EU data residency) apply and are available on request. You remain responsible for your own privacy notices to shoppers.

7. Fees, billing and cancellation

• Paid plans are billed in advance on a recurring (monthly) basis via our payment processor (Stripe). Some plans also include a commission on assisted sales, as described at sign-up.
• Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid period, and you retain access until then. You may also upgrade to a higher plan, effective immediately and prorated.
• Fees are exclusive of VAT and other taxes, which you are responsible for where applicable. Except where required by law, fees are non-refundable for partial periods.
• We may change pricing on renewal with reasonable prior notice.

8. Intellectual property

We and our licensors own all rights in the Service, including its software, models integration, and the Bespoke Seb name and marks. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified statistics to operate and improve the Service; we will not publicly identify you as a customer without your consent.

9. AI output

The associate is grounded in your catalogue and knowledge and is designed not to invent products, prices, or policies. Nevertheless, AI output may contain errors; you are responsible for reviewing your catalogue, knowledge, and configuration. We do not warrant any particular sales uplift, conversion rate, or commercial result.

10. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under Belgian law (e.g. fraud or wilful misconduct).

12. Indemnification

You will defend and indemnify LG MGMT against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your breach of applicable law.

13. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the Service and use it only to perform under these Terms.

14. Term, suspension and termination

These Terms apply while you use the Service. We may suspend or terminate access for material breach, non-payment, or to protect the Service or its users. You may stop using and cancel the Service at any time as described above. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period and then delete it in the ordinary course.

15. Changes

We may update these Terms as the Service evolves. For material changes we will take reasonable steps to notify account holders; continued use after changes take effect constitutes acceptance.

16. Governing law and jurisdiction

These Terms are governed by the laws of Belgium. The courts competent for the registered office of LG MGMT SRL (Brussels) have exclusive jurisdiction, without prejudice to any mandatory consumer or statutory protections.

17. Miscellaneous

These Terms (with the Privacy Policy and any order/data-processing terms) are the entire agreement between us. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
